General Terms and Conditions (GTC)

  1. Contracting parties, contact information
    The purchase agreement is concluded with Karbon Kinetics Ltd, Unit 30, Barwell Business Park, Leatherhead Road, Chessington, Surrey, KT9 2NY, United Kingdom, represented by Managing Director Jianwei Zhang, registered at Companies House, Company Number: 04357956, VAT ID No.: GB 791 6736 87. Contact: customerservice@gocycle.com (Karbon Kinetics is the distributor of Aventon electric bike products in the UK and will hereinafter be referred to as Aventon, "we", "us").

  2. Scope, deviations

    1. These General Terms and Conditions (hereinafter "GTC") apply to all contracts concluded between Aventon and the customer as a consumer (hereinafter "customer" or "you") via the online shop at www.aventon.co.uk for the delivery of goods.

    2. For the purposes of these Terms and Conditions, a consumer is any natural person who enters into a legal transaction for purposes that are wholly or mainly outside their trade, business, craft or profession within the meaning of the Consumer Rights Act 2015.

    3. Any differing, conflicting or supplementary terms and conditions of the customer shall only become part of the contract if and to the extent that Aventon has expressly agreed to their validity in writing.

  3. Offer (order), acceptance, conclusion of contract, financing and leasing, contract text

    1. The product descriptions contained in the Aventon online shop do not constitute binding offers from Aventon, but serve as an invitation to the customer to submit a binding offer.

    2. The customer can submit an offer via the online order form integrated into the Aventon online shop. After placing the selected goods in the virtual shopping cart and completing the electronic ordering process, the customer submits a legally binding offer to purchase the goods in the shopping cart by clicking the "Place order" button, which finalizes the order.
      Before submitting the order via the Aventon online order form, the customer can identify any input errors by carefully reading the information displayed on the screen. A useful technical aid for better identifying input errors is the browser's zoom function, which enlarges the screen display. The customer can correct their entries during the electronic ordering process using standard keyboard and mouse functions until they click the button to finalize the order.

    3. Immediately after receiving the order, the customer receives an email confirming receipt of the order by Aventon (hereinafter referred to as the "Order Confirmation"). This Order Confirmation does not constitute acceptance of the order, but merely serves to inform the customer that their order has been received by Aventon. A purchase agreement is only concluded when, within five days of receipt of the order – whichever of the following occurs first – Aventon confirms shipment of the goods by a further email, requests payment from the customer after the order has been placed, or delivers the goods. This does not apply if the customer has previously exercised their statutory right to cancel in accordance with Section 10.

    4. If Aventon does not accept the customer's offer within the aforementioned period, this shall be deemed a rejection of the offer, with the consequence that the customer is no longer bound by their declaration of intent. Aventon will promptly refund any payments already made.

    5. Aventon supports its customers in acquiring goods through Cycle to Work scheme and/or other financing models. Potential scheme and financing partners include, but are not limited to, those operating under the UK Cycle to Work scheme, which enables employees to purchase e-bikes and accessories tax-efficiently through their employer as a salary sacrifice arrangement. For orders using financing or a Cycle to Work scheme, Aventon's acceptance of the customer's offer is subject to the condition precedent of approval by the respective scheme or financing partner. In this case, Aventon reserves the ordered goods for a period of up to seven (7) calendar days from receipt of the order for financed orders and up to fourteen (14) calendar days for scheme orders. If Aventon does not receive a corresponding financing or scheme confirmation from the respective partner within this period, Aventon is entitled to reject the customer's offer. Furthermore, Aventon reserves the right to cancel an order that has already been accepted and to promptly refund any payments already made.

    6. When submitting an offer via Aventon's online order form, the contract text is stored by Aventon after the conclusion of the contract and sent to the customer in text form (e.g., email, fax, or letter) after the order has been submitted. Aventon will not make the contract text available in any other way.

    7. Only the English language is available for concluding the contract.

  4. Prices

    1. Unless otherwise stated in the Aventon product description, the prices quoted are total prices, including statutory VAT. Any applicable shipping costs are to be borne by the customer in addition to the stated product prices. The customer can view Aventon's current shipping costs and associated shipping conditions for the selected delivery and shipping methods at www.aventon.co.uk. Any additional delivery and shipping costs (in particular for special packaging, transport insurance, or express shipping) will be indicated separately during the ordering process.

    2. The total price to be paid by the customer (final price of the product and – if applicable – shipping costs) will be displayed to him before the order is placed.

    3. The payment option(s) will be communicated to the customer in the Aventon online shop.

  5. Payment options, payment terms, late payment

    1. Payment options depend on the order value and availability at checkout. Unless otherwise stated during the ordering process, payment can be made via PayPal, credit card (Visa, MasterCard), Apple Pay, Google Pay, Klarna (including invoice/instalment purchase), or prepayment. Financing and Cycle to Work scheme options may also be offered. Important: If the customer selects financing or a Cycle to Work scheme, the delivery date specified during the ordering process may not apply. The delivery date may be delayed due to the processing time for your financing or scheme application.

      When paying by credit card, the required information (such as credit card number, expiry date, and security code) must be provided to us when placing your order. Your account will be debited with the agreed amount immediately after Aventon accepts your order.

      If you choose prepayment, we will send you our bank details by email, fax, or post. The purchase price must be credited to our account within 7 days of receiving this information. We will then ship the ordered goods to you.

      When paying via PayPal (Europe) S.à rl et Cie, SCA, 22-24 Boulevard Royal, L-2449 Luxembourg ("PayPal"), you will be automatically redirected to PayPal's secure payment form after submitting your order. If you already have a PayPal account, simply log in. Otherwise, click on "Create an account" and follow the instructions. Aventon will receive your payment immediately, and your goods can be shipped as soon as they are available. You will receive further information during the ordering process.

      To pay with Apple Pay, you need to use the Safari browser on your iPhone, iPad, or Mac (and have a corresponding Apple account and a payment method approved for that account). You can use Apple Pay as a payment method for orders; to do this, you must authorize the payment to Aventon. Further details can be found in Apple's terms and conditions at https://support.apple.com/en-gb/HT201239.

      To pay the invoice amount via Google Pay, you must be registered with Google, have activated the Google Pay function, authenticate yourself with your login credentials, and confirm the payment instruction. The payment transaction will be processed immediately after you place your order. You will receive further instructions during the ordering process. The Google Pay terms of service can be found at https://pay.google.com/intl/en_gb/about/.

      We offer the payment option of purchase on account/instalment payment in cooperation with Klarna (www.klarna.com). When purchasing on account with Klarna, the invoice amount is due according to the specifications of Klarna Bank AB (publ). For instalment payments, the due date is according to the instalment plan explained during the purchase process and sent by Klarna via email. The payment methods of purchase on account or instalment payment are not available for all offers and require, among other things, a successful credit check by Klarna Bank AB (publ). If, after a credit check, the customer is granted the option of purchase on account or instalment payment for certain offers, the payment will be processed in cooperation with Klarna, to whom Aventon assigns its payment claim. In this case, the customer can only make payments with legally binding effect to Klarna. The General Terms and Conditions of Klarna Bank AB (publ) also apply to the payment methods of purchase on account and instalment payment.

    2. Only an electronic invoice/credit note will be issued.

  6. Delivery conditions, delivery times and assembly status

    1. Delivery is only available within the United Kingdom. Deliveries to parcel lockers or offshore islands (including the Channel Islands) are excluded.

    2. Unless otherwise agreed, goods will be delivered to the delivery address specified by the customer. Accessories/spare parts will be shipped via parcel service, and e-bikes will be sent as bulky goods via freight carrier (home delivery).

    3. Delivery to the customer usually takes place within 14 days of the conclusion of the contract (except for pre-orders). Standard delivery times for accessories are typically 2-5 working days and for e-bikes 7-21 working days.

    4. If the shipping company returns the shipped goods to Aventon because delivery to the customer was not possible, the customer shall bear the costs of the unsuccessful shipment. This does not apply if the customer is not responsible for the circumstances that led to the impossibility of delivery or if the customer was temporarily prevented from accepting the offered service, unless Aventon had notified the customer of the service a reasonable time in advance. Furthermore, this does not apply to the initial shipping costs if the customer effectively exercises their right to cancel. Regarding return shipping costs, the provisions set forth in Aventon's cancellation policy apply if the customer effectively exercises their right to cancel.

    5. The customer must report any externally visible transport damage to the delivery person as soon as possible upon receipt of the goods and notify Aventon immediately. Failure to report such damage does not affect the customer's statutory warranty rights.

    6. For self-collection, Aventon will first inform the customer by email that the ordered goods are ready for collection. After receiving this email, the customer can collect the goods from the agreed delivery location by prior arrangement with Aventon. In this case, no shipping costs will be charged.

    7. E-bikes are delivered partially assembled. Final assembly/fine-tuning may be required (e.g., pedals, handlebars, saddle height). A professional final inspection before use is recommended.

    8. Aventon is entitled to make partial deliveries if this is reasonable for the customer. If Aventon fulfills the order by means of partial deliveries, the customer will not incur any additional shipping costs for multiple partial deliveries. If the partial deliveries are made at the customer's request, Aventon will charge shipping costs for each partial delivery.

  7. Retention of title

    1. Aventon retains ownership of the delivered goods to consumers until full payment of the purchase price owed.

  8. Warranty and Guarantees

    1. Unless expressly agreed otherwise below, the law on liability for defects shall apply in accordance with the statutory provisions.

    2. The warranty period for delivered goods is 2 years from delivery of the goods.

    3. For the performance of inspections and/or repairs, Aventon will designate an authorized service partner to the customer in geographical proximity to the customer's desired location. Not all service partners are authorized to provide all services; the selection of the responsible service partner is made at Aventon's reasonable discretion.

    4. If Aventon provides a warranty for the goods, this will be expressly stated in the product description. The warranty terms and conditions are set out in the respective warranty statement.

  9. Liability

    1. Aventon shall be liable without limitation for any damages caused intentionally or by gross negligence. In the case of a slightly negligent breach of a primary contractual obligation or a secondary obligation, the breach of which jeopardizes the achievement of the purpose of the contract or the fulfillment of which is essential for the proper performance of the contract and on the observance of which you were entitled to rely (hereinafter referred to as a "material secondary obligation"), Aventon's liability shall be limited to foreseeable, typical contractual damages at the time of conclusion of the contract. Aventon shall not be liable for a slightly negligent breach of a contractual secondary obligation that is not a material secondary obligation.

    2. The foregoing exclusions and limitations of liability do not apply in cases of fraudulent concealment of defects, the assumption of a warranty of quality and/or durability, liability for product defects based on statutory product liability law, data protection breaches, or injury to life, body, or health. This does not entail any shift in the burden of proof to your disadvantage.

    3. To the extent that Aventon's liability is excluded or limited, this also applies to the personal liability of Aventon's representatives, employees and agents.

  10. Right to cancel for consumers

    1. Consumers generally have a right to cancel. Further information on the right to cancel can be found in the cancellation policy below.

      You have the right to cancel this contract within 14 days without giving any reason.

      The cancellation period is 14 days.

      In the case of a purchase contract, from the day on which you or a third party designated by you, who is not the carrier, have taken possession of the goods;
      In the case of a contract for several goods that you have ordered as part of a single order and that are delivered separately, from the day on which you or a third party designated by you, who is not the carrier, took possession of the last item;
      In the case of a contract for the delivery of goods in several partial shipments or pieces, from the day on which you or a third party designated by you, who is not the carrier, took possession of the last partial shipment or the last piece.

      To exercise your right to cancel, you must inform us (Karbon Kinetics Ltd, Unit 30, Barwell Business Park, Leatherhead Road, Chessington, Surrey, KT9 2NY, United Kingdom, email: customerservice@gocycle.com) of your decision to withdraw from this contract by means of an unequivocal statement (e.g. a letter sent by post or email). You may use the model cancellation form in section 10.3, but this is not obligatory.
      To meet the cancellation deadline, it is sufficient for you to send your communication concerning your exercise of the right to cancel before the cancellation period has expired.

      Consequences of cancellation
      If you cancel this contract, we will reimburse all payments received from you, including delivery costs (excluding any additional costs incurred if you chose a delivery method other than our cheapest standard delivery option), without undue delay and no later than fourteen days from the day on which we received your notification of cancellation. For this reimbursement, we will use the same payment method that you used for the original transaction, unless expressly agreed otherwise; in no case will you be charged any fees as a result of this reimbursement. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.

      You must return or hand over the goods to
      Karbon Kinetics Ltd, Unit 30, Barwell Business Park, Leatherhead Road, Chessington, Surrey, KT9 2NY, United Kingdom, without undue delay and in any event no later than 14 days from the day on which you notify us of your cancellation of this contract. The deadline is met if you send the goods before the 14-day period has expired. You will bear the direct costs of returning the goods. You are only liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods.

    2. The right of cancellation does not apply to contracts for the supply of goods that are not prefabricated and for whose production an individual selection or specification by the consumer is decisive or which are clearly tailored to the personal needs of the consumer.

  11. Dispute Resolution

    1. We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board, and we do not generally choose to do so voluntarily. However, consumers in the United Kingdom may seek alternative dispute resolution (ADR) through approved schemes. Information on approved ADR providers can be found at https://www.gov.uk/find-a-legal-adviser or through the Chartered Trading Standards Institute at https://www.ctsi.org.uk. The Online Dispute Resolution (ODR) platform previously operated by the EU is not applicable to UK consumers following the United Kingdom's departure from the European Union.

  12. Accessibility

    1. Description of our service

      We operate an online shop that, among other things, enables consumers to purchase goods via the internet. Our service includes providing an online platform for product selection, order processing, payment, and organizing the delivery of the ordered goods.

    2. To use our online shop, the following steps are required:
      - Registration as a customer (optional) or guest checkout
      - Selection of the desired products from our range
      - Entry of the required order and shipping information
      - Selection of the payment method and completion of the order
      - Receipt of an order confirmation by email
      - Information about the shipping status and delivery of the goods
      - If you have any questions or require assistance, our customer service is available.

    3. We are actively committed to the accessibility of our online shop and continuously work to improve accessibility for people with disabilities. Our measures include, in particular:

    4. Aventon is committed to meeting its obligations under the Equality Act 2010, which requires all UK goods and service providers to make reasonable adjustments to ensure equal access for people with disabilities, including in relation to digital services. We also endeavour to align with the Web Content Accessibility Guidelines (WCAG 2.1 AA) as recognised best practice. Concerns regarding the accessibility of our digital services may be raised with the Equality and Human Rights Commission (EHRC), which is responsible for enforcing equality law in England, Scotland, and Wales.   13. Digital Services / App Usage

    1. If you use our app/software, you will receive a simple, non-transferable right of use for private purposes.

    2. We provide necessary security and functionality updates. You are obliged to install them promptly.

    3. Uninterrupted availability at all times cannot be guaranteed. Maintenance or malfunctions may affect use.

    4. You are responsible for your own data backups; we are not liable for data loss unless mandatory grounds for liability apply (Section 9).

  14. Data protection

    1. Aventon processes the customer's personal data in accordance with the provisions of the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

    2. Further information on the processing of personal data can be found in Aventon's privacy policy, which is available on Aventon's website.

  15. Final Provisions, Applicable Law, Jurisdiction

    1. The laws of England and Wales shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers: If the customer has their habitual residence outside England and Wales, they shall retain the protection afforded by the applicable mandatory provisions of their state of residence, from which no derogation may be made by agreement.
